1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of StudyBuddy, a mobile and web application developed by VaultIQ Inc. ("we," "our," or "us") that provides students with an enhanced interface for viewing their Schoology grades and academic information (the "Service").

By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Service.

Important: StudyBuddy is an independent tool and is not affiliated with, endorsed by, or sponsored by Schoology or PowerSchool. The Service is intended for use by schools and students in the United States.

2. Eligibility

To use the Service, you must have a valid Schoology account provided by your educational institution. The Service is designed for students whose schools use Schoology.

If you are under the age of 13, you may use the Service only with the involvement and consent of your school and/or parent or guardian, as required by the Children's Online Privacy Protection Act (COPPA) and the Family Educational Rights and Privacy Act (FERPA). We rely on schools to obtain appropriate parental consent. See our Privacy Policy for more detail.

3. Accounts and Authentication

You sign in to StudyBuddy using your existing Schoology credentials through Schoology's secure OAuth authentication. We never see, collect, or store your Schoology password. A StudyBuddy account is created automatically the first time you sign in.

  • You are responsible for maintaining the confidentiality of your Schoology credentials.
  • You are responsible for all activity that occurs under your session.
  • You may end your session at any time by signing out, and you may revoke StudyBuddy's access through your Schoology account settings.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • Access or attempt to access any account or data that is not your own;
  • Use the Service to access, store, or distribute another person's academic records without authorization;
  • Reverse engineer, decompile, scrape, or attempt to extract the source code of the Service, except where permitted by law;
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, our servers, or any connected systems or networks;
  • Use automated systems (bots, scrapers, etc.) to access the Service in a manner that sends more requests than a human could reasonably produce;
  • Use the Service to violate any applicable law or the rules of your educational institution;
  • Misrepresent your identity or your affiliation with any person or institution.

5. The Service

StudyBuddy retrieves your academic data from Schoology and presents it in our interface. We also provide tools such as a calendar, a to-do list, analytics, exam practice, and a "What-If" grade calculator.

What-If calculations are estimates. Grade projections, predicted scores, and "What-If" scenarios are performed on your device for planning purposes only. They are based on the data available and on assumptions about grading that may not match your teacher's or school's actual grading policy. They do not change your real grades in Schoology and are not a guarantee of any outcome. Always rely on Schoology and your teachers for official grades.

Notifications. If you turn on push notifications in the mobile app, the Service will, with your permission, check for changes to your grades in the background to alert you, and may send other service-related messages such as replies to your support requests. Notifications are provided on a best-effort basis and may be delayed or undelivered, so do not rely on them as your only source of grade information. You can turn notifications off at any time in your device settings or by signing out. See our Privacy Policy for the data this involves.

6. Intellectual Property

The Service, including its design, text, graphics, logos, and software, is owned by VaultIQ Inc. and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms.

Your academic data retrieved from Schoology remains yours (and is governed by your school and Schoology). We claim no ownership over your academic data. "Schoology" and "PowerSchool" are trademarks of their respective owners.

7. Third-Party Services

The Service relies on and integrates with third-party services, including Schoology (for authentication and data retrieval), as well as reputable third-party providers for hosting and error monitoring. Your use of the Service through these third parties is subject to their respective terms and policies, and we are not responsible for their availability, content, or practices. 8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  • We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.
  • We do not warrant that grade data, projections, or calculations shown in the Service are accurate, complete, or current. Official grades are those recorded in Schoology.
  • The Service depends on Schoology's systems; we are not responsible for outages, changes, or errors originating from Schoology.

9. Limitation of Liability

To the fullest extent permitted by law, VaultIQ Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, academic standing, opportunities, or goodwill, arising out of or in connection with your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

Because the Service is provided free of charge, to the extent any liability cannot be excluded, our total aggregate liability arising out of or relating to the Service is limited to the amount you have paid us to use the Service, which is zero.

10. Indemnification

You agree to indemnify and hold harmless VaultIQ Inc. and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may stop using the Service at any time by signing out and, if you wish, revoking StudyBuddy's access in your Schoology settings. We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, or to protect the Service, our users, or third parties. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last Updated" date above, and material changes will be prominently announced on the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California.

14. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, make up the entire agreement between you and VaultIQ Inc. regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms without our consent. We may assign our rights and obligations under these Terms, for example in connection with a merger, acquisition, or sale of assets.
